Terms and conditions

1. Introduction

These Terms and Conditions (“Agreement”) govern the provision of services by Copycat DIT Limited (“the Service Provider,” “we,” “our,” or “us”) to the client (“Client” or “you”) for freelance services, including but not limited to digital imaging technician (DIT) services, equipment rental, consultation, and other related services.

By engaging in these services, you agree to be bound by these terms.

2. Services Provided

The Service Provider offers the following services:

• Digital Imaging Technician (DIT) services, including camera equipment management, data wrangling, and on-set support.

• Equipment rental, including relevant technical equipment necessary for the execution of the project.

• Post-production support and related services.

3. Client Responsibilities

The Client agrees to:

• Provide clear and timely communication regarding project requirements, expectations, and timelines.

• Ensure that all necessary permissions and licenses are obtained for the use of any materials provided to the Service Provider.

• Safeguard any equipment or property provided by the Service Provider while it is in your possession or under your control.

4. Equipment and Liability

4.1 Coverage of Equipment

The Client is responsible for the safekeeping of all equipment provided by the Service Provider during the term of service. This includes but is not limited to cameras, lenses, data storage devices, and other tools used in the execution of the services.

4.2 Insurance

The Client must have valid insurance coverage for all equipment while it is under their control, including transit and storage. The Client agrees to indemnify the Service Provider for any loss, theft, or damage to the equipment during the service period, except where such loss, theft, or damage arises due to the Service Provider’s own negligence.

4.3 Return of Equipment

Any rented equipment must be returned in the same condition as it was provided. If the equipment is damaged, lost, or stolen, the Client is liable for the full cost of repair or replacement, which will be assessed by the Service Provider.

5. Payment Terms

5.1 Rates and Invoicing

The Service Provider will provide a written estimate or quotation for the project. Once the Client agrees to the estimate, the final fee will be invoiced upon completion of the services or in stages, depending on the terms of the project.

5.2 Late Payment

Invoices are due upon receipt, unless otherwise stated. If payment is not received within 30 days of the invoice date, a £15 administrative fee will be applied to reissued invoices. In addition, a 2% interest charge will be applied to overdue invoices every 30 days from the invoice date.

6. Cancellations and Rescheduling

6.1 Cancellation by Client

Cancellation policy as per the Advertising Producers Association’s guidelines:

Fee cancel calculation:

7 and more days prior to the engagement – no calculation fee applies

6 – 4 days prior to the engagement – 50% of the agreed fee

3 – 2 days prior to the engagement – 75% of the agreed fee

On the day prior to the engagement –100% of the agreed fee

6.2 Cancellation by Service Provider

The Service Provider reserves the right to cancel or reschedule services due to unforeseen circumstances, such as illness, emergencies, or equipment failure. In such cases, the Service Provider will notify the Client as soon as possible and work to reschedule or offer a full refund for any prepaid services.

7. Confidentiality

Both parties agree to maintain confidentiality with respect to proprietary information and materials that are shared during the course of the project. This includes but is not limited to scripts, footage, and business information.

8. Intellectual Property

8.1 Ownership of Work

All intellectual property created by the Service Provider during the project, including but not limited to photographs, video content, scripts, and digital assets, remains the property of the Service Provider until full payment is received, at which point the Client is granted ownership rights for use as specified in the contract.

8.2 Use of Content

The Client agrees that the Service Provider may use any completed work or excerpts of the project for promotional purposes unless otherwise agreed in writing.

9. Limitation of Liability

The Service Provider will not be liable for any indirect, consequential, or incidental damages arising from the performance of services, including but not limited to loss of revenue, data, or reputation. The Service Provider’s liability is limited to the total amount paid by the Client for the services rendered.

10. Force Majeure

Neither party shall be held liable for failure to perform their obligations under these Terms and Conditions in the event of circumstances beyond their reasonable control, including but not limited to natural disasters, government restrictions, or acts of war.

11. Dispute Resolution

Any disputes arising from the terms of this Agreement shall be resolved through mediation or arbitration in accordance with UK law.

12. Amendments

These Terms and Conditions may be amended by the Service Provider at any time. Any amendments will be communicated to the Client in writing, and continued use of services will constitute acceptance of the updated terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
